Gemini HQ Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the SaaS platform ("Service") provided by Gemini HQ, a U.S.  company with its registered office at 4157 Mountain Rd, Pasadena, MD 21122. ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

2. Use of the Service

You may use the Service only in compliance with these Terms and all applicable laws and regulations. The Service is intended solely for use by businesses and not for individual consumers.

3. User Accounts

To access the Service, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account with Gemini HQ.

4. License Grant

Subject to your compliance with these Terms, Gemini HQ grants you a non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription solely for your internal business operations.

5. Restrictions

You shall not:

Copy, modify, or create derivative works of the Service;

Reverse engineer, decompile, or disassemble the Service;

Rent, lease, lend, sell, sublicense, or otherwise distribute the Service to any third party;

Use the Service for any unlawful or unauthorized purpose.

6. Intellectual Property

All intellectual property rights in the "Service", [not the Client's content or documents], including but not limited to software, documentation, and logos, are and shall remain the exclusive property of Gemini HQ or its licensors.

7. Subscription Fees and Payment

Access to the Service is provided on a subscription basis. Fees are outlined on the Gemini HQ website or in a separate agreement. All payments are non-refundable except as required by law. Client may cancel at anytime via email.

8. Data Privacy

Gemini HQ processes personal data in accordance with its Privacy Policy. By using the Service, you consent to such processing and warrant that all data provided by you is accurate.

9. Availability and Support

Gemini HQ aims to provide continuous availability of the Service, subject to maintenance and unforeseen outages. Support is available via email or chat, with response times defined in your service agreement.

10. Term and Termination

These Terms remain effective until your subscription is terminated. Gemini HQ may suspend or terminate your access to the Service for violation of these Terms. Upon termination, your license to use the Service ends immediately.

11. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranty of any kind. Gemini HQ does not guarantee that the Service will be error-free or uninterrupted. To the maximum extent permitted by law, our liability for any damages arising out of or related to your use of the Service is limited to the amount paid to Gemini HQ for the Service during the previous 12 months.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of State of Maryland. Any disputes shall be resolved in the courts of Maryland.

13. Amendments

Gemini HQ reserves the right to modify these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.
